TERMS OF SERVICE
OVERVIEW
This website is operated by CLIOS Candles Ltd (“CLIOS”, “we”, “us” or “our”).
Throughout the website, the terms “we”, “us” and “our” refer to CLIOS Candles Ltd. We provide this website, including the information, products, features and services available through it, subject to these Terms of Service.
Our online store is hosted by Shopify, which provides the ecommerce platform that enables us to sell our products to you.
These Terms of Service apply whenever you browse our website, create an account or place an order through our online store.
Please read these Terms carefully before using our website or purchasing from us. By using the website or placing an order, you agree to these Terms together with our Privacy Policy, Refund Policy and any other policies referred to on the website.
Nothing in these Terms affects your statutory rights as a consumer.
SECTION 1 – ABOUT US
This website is operated by:
CLIOS Candles LTD
Registered in: England and Wales
Email: support@clioscandles.co.uk
If you are purchasing from us as a retailer, distributor or other business customer under an agreed wholesale arrangement, additional or separate trade terms may apply.
SECTION 2 – USING OUR WEBSITE
You may use our website only for lawful purposes.
When creating an account or placing an order, you agree that the information you provide is accurate, complete and current.
If you create an account, you are responsible for keeping your login details confidential and for activity carried out through your account.
You must not misuse our website, attempt to gain unauthorised access to it, introduce viruses or malicious software, interfere with its operation, or use it in any way that infringes the rights of another person.
SECTION 3 – OUR PRODUCTS
We take reasonable care to ensure that product descriptions, photographs, dimensions, fragrance information and other details displayed on our website are accurate.
Because many CLIOS products involve fragrance, wax, glass and other materials that may naturally vary, minor differences between individual products may occur.
Colours and appearance may also vary slightly depending on your screen or device.
These reasonable variations do not affect your statutory rights where a product is faulty, damaged, unsafe or materially different from its description.
We may update product descriptions, specifications or availability from time to time and may discontinue products without notice.
Nothing in these Terms excludes your statutory right to receive goods that comply with applicable consumer law.
SECTION 4 – ORDERS AND CONTRACT FORMATION
When you place an order through our website, you are offering to purchase the products in your basket.
After placing your order, you will receive an acknowledgement confirming that we have received it. This acknowledgement does not necessarily mean that your order has been accepted.
Unless we tell you otherwise, a contract between you and CLIOS is formed when we confirm that your order has been accepted or dispatched.
We reserve the right to refuse or cancel an order where reasonably necessary, including where:
- a product is unavailable;
- there has been an obvious pricing or product-information error;
- payment cannot be authorised;
- we reasonably suspect fraud or misuse;
- delivery cannot be made to the address provided; or
- applicable legal or regulatory requirements prevent us from fulfilling the order.
If payment has already been taken for an order we cannot fulfil, we will refund the relevant amount.
Please review your order information carefully before submitting it.
Your statutory cancellation rights and our additional returns arrangements are explained in our Refund Policy.
SECTION 5 – PRICES AND PAYMENT
Prices displayed on our website are shown in the currency indicated at checkout.
The price payable will be the price displayed when you place your order, subject to correction of any obvious error.
Delivery charges, where applicable, will be shown before you complete your purchase.
Any applicable taxes that we are legally required to include will be dealt with in accordance with applicable law.
For international orders, you may be responsible for customs duties, import taxes or other charges imposed by the destination country unless we expressly state that these charges are included.
You agree to provide accurate billing and payment information and confirm that you are authorised to use the payment method provided.
We may change our prices at any time, but changes will not affect orders that have already been accepted.
Promotional offers may be subject to separate terms and may be withdrawn or amended in accordance with those terms.
SECTION 6 – DELIVERY
We will deliver products to the delivery address provided when you place your order.
Estimated delivery times displayed on our website are estimates rather than guaranteed delivery dates unless expressly stated otherwise.
We are not responsible for delays caused by circumstances genuinely outside our reasonable control, but this does not affect any rights you have under applicable consumer law.
For consumer purchases, the goods generally remain at our risk until they come into the physical possession of you or a person you have identified to receive them.
The principal exception is where you independently arrange a carrier that we did not offer as a delivery option. This reflects the Consumer Rights Act 2015.
If a parcel is lost or damaged before delivery to you, please contact support@clioscandles.co.uk.
SECTION 7 – CANCELLATIONS, RETURNS AND REFUNDS
Your rights relating to cancellations, returns, faulty goods and refunds are explained in our Refund Policy.
For most online purchases, UK consumers have a statutory 14-day cancellation period, subject to certain exceptions. Consumers generally have a further 14 days to return goods after notifying the trader that they are cancelling.
CLIOS may provide a longer voluntary returns period in addition to these statutory rights.
Nothing in our Refund Policy or these Terms limits your rights where goods are faulty, damaged, unsafe, not as described or otherwise fail to comply with applicable consumer law.
SECTION 8 – INTELLECTUAL PROPERTY
The content of this website, including the CLIOS name and branding, logos, product names, photographs, video, text, graphics, artwork, website design and other content, is owned by or licensed to CLIOS unless stated otherwise.
It is protected by applicable copyright, trademark and other intellectual-property laws.
You may access and use the website for personal, non-commercial purposes.
You must not reproduce, copy, republish, commercially exploit, modify, distribute or use our protected content without our prior written permission, except where permitted by law.
Nothing in these Terms grants you ownership of, or a licence to use, any CLIOS trademark, branding or other intellectual property except as expressly stated.
Third-party trademarks appearing on our website remain the property of their respective owners.
SECTION 9 – THIRD-PARTY SERVICES AND LINKS
Our website may use or provide access to services, payment systems, applications or functionality provided by third parties.
It may also contain links to third-party websites.
We are not responsible for the content or operation of third-party websites that we do not control.
If you choose to use a third-party service or visit a third-party website, its own terms and privacy policies may apply.
Nothing in this section limits our responsibility where applicable law makes us responsible for something done in connection with providing your order or our Services.
SECTION 10 – SHOPIFY
CLIOS is powered by Shopify, which enables us to provide our online store and related Services.
However, purchases made through our Store are made directly with CLIOS Candles Ltd.
Shopify is our ecommerce platform provider and is not the seller of CLIOS products.
Certain personal information may be processed by Shopify in connection with operating our store. Further information is provided in our Privacy Policy and Shopify’s applicable privacy information.
SECTION 11 – REVIEWS AND FEEDBACK
If you voluntarily submit a review, photograph, testimonial, suggestion or other content to us (“Feedback”), you confirm that you have the right to submit it and that it does not infringe another person’s rights.
You grant CLIOS a non-exclusive, worldwide, royalty-free licence to use, reproduce and display Feedback for purposes including operating and promoting our business.
Where reasonably appropriate, we may edit Feedback for formatting, length or presentation without materially misrepresenting what you said.
You must not submit unlawful, defamatory, abusive, fraudulent or infringing content.
If we provide an incentive in connection with a review or other content, we will handle any required disclosure in accordance with applicable law.
SECTION 12 – ERRORS AND AVAILABILITY
Occasionally our website may contain typographical errors, inaccurate information or omissions relating to matters such as product descriptions, prices, promotions, stock availability or delivery information.
We may correct these errors when discovered.
If an error materially affects an order you have already placed, we will contact you where appropriate and will not use this clause to remove rights you have under applicable consumer law.
SECTION 13 – PROHIBITED USES
You must not use our website:
- for unlawful or fraudulent purposes;
- to infringe our intellectual-property rights or those of another person;
- to transmit malicious code;
- to attempt unauthorised access to our systems;
- to collect personal information unlawfully;
- to impersonate another person;
- to send spam or unsolicited communications;
- to interfere with the security or proper operation of the website; or
- to scrape, reproduce or commercially exploit substantial parts of our website without permission where such activity is not otherwise permitted by law.
We may restrict access to our website where we reasonably believe these Terms have been materially breached.
SECTION 14 – SUSPENSION AND TERMINATION
We may suspend or terminate an account or restrict access to our website where there is a reasonable basis to do so, including serious misuse, suspected fraud, security risks or a material breach of these Terms.
Termination of an account does not affect rights or liabilities that arose before termination.
SECTION 15 – OUR RESPONSIBILITY TO YOU
We do not exclude or limit liability where doing so would be unlawful.
In particular, nothing in these Terms excludes or limits liability for:
- death or personal injury caused by negligence;
- fraud or fraudulent misrepresentation;
- your statutory consumer rights; or
- any other liability that cannot legally be excluded or limited.
UK consumer terms cannot override core rights relating to matters such as faulty goods or goods that are not as described.
If we breach these Terms, we are responsible for loss or damage that is a foreseeable consequence of that breach.
We are not responsible for losses that were not reasonably foreseeable when the contract was entered into.
Our products are supplied primarily for domestic and private use unless we have expressly agreed otherwise. If you use a consumer purchase for commercial or business purposes without a separate trade agreement, we are not responsible for business losses such as loss of profits, revenue or business opportunity to the extent permitted by law.
Nothing in this section affects any rights available to you under the Consumer Rights Act 2015 or other applicable legislation.
SECTION 16 – EVENTS OUTSIDE OUR CONTROL
We will not be responsible for delay or failure to perform an obligation where that delay or failure results from circumstances outside our reasonable control.
Where such circumstances materially affect your order, we will take reasonable steps to minimise the effect and contact you where appropriate.
Your statutory rights remain unaffected.
SECTION 17 – PRIVACY
Our collection and use of personal information is governed by our Privacy Policy.
Because our store is hosted on Shopify, certain personal information may also be processed by Shopify and other service providers acting in connection with our ecommerce operations.
Please review our Privacy Policy for further information about how personal information is collected, used, stored and shared.
SECTION 18 – SEVERABILITY
If any provision of these Terms is found by a court or other competent authority to be invalid or unenforceable, that provision will be treated as removed or limited to the minimum extent necessary.
The remaining provisions will continue to apply.
SECTION 19 – WAIVER
If we do not immediately enforce a provision of these Terms, this does not mean that we have waived our right to enforce it later.
SECTION 20 – TRANSFER OF RIGHTS
You may not transfer your rights or obligations under these Terms to another person without our consent, except where applicable law gives you the right to do so.
We may transfer our rights or obligations to another organisation, for example as part of a sale or restructuring of our business, provided that doing so does not materially reduce your rights under these Terms.
SECTION 21 – GOVERNING LAW
These Terms and any contract between you and CLIOS are governed by the laws of England and Wales, subject to any mandatory consumer protections that apply to you.
If you are a consumer resident in another part of the United Kingdom, you may also have the right to bring proceedings in the courts of the jurisdiction in which you live.
Nothing in this section deprives a consumer of mandatory legal protections that apply in their country of residence.
SECTION 22 – CHANGES TO THESE TERMS
We may update these Terms from time to time, for example to reflect changes to our Services, business practices or applicable law.
The version applicable to an order will normally be the version in force when that order was placed.
The latest version will be available on this page.
